End User License Agreeement

Effective Date: 1st January 2025

This End User License Agreement (“Agreement”) is a legal contract between you (“User”, “you”, or “your”) and GigsPH, Inc. (“GigsPH”, “we”, “our”, or “us”), governing your access to and use of the GigsPH mobile application, website, and related services (collectively, the “Platform”).

By downloading, installing, registering, or using the Platform, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not use the Platform.

1. LICENSE GRANT

GigsPH grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Platform solely for your personal or business purposes in accordance with this Agreement.

You may not:
• Copy, modify, or create derivative works of the Platform
• Reverse-engineer, decompile, or attempt to extract the Platform’s source code
• Rent, lease, sell, or sublicense access to the Platform
• Use the Platform for any unlawful purpose

2. USER ACCOUNTS
• You must be at least 18 years old to register.
• You are responsible for keeping your account credentials secure.
• You agree to provide accurate, up-to-date information and to maintain only one account per role (client or service provider) unless otherwise permitted.
• You are responsible for all activities under your account.

3. PLATFORM USE

You agree to use the Platform only for legitimate hiring and work engagement purposes. You must not:
• Post false, misleading, or fraudulent information
• Harass, abuse, or harm other users
• Circumvent any fees, payment processes, or verification systems
• Use automated scripts, bots, or scraping tools without permission

4. VERIFICATION AND RATINGS
• GigsPH may require identity verification, skills assessment, or credential checks.
• We may display ratings, reviews, and feedback from other users, which are subjective and not guaranteed to be accurate.

5. FEES AND PAYMENTS
• Clients agree to pay the service fees and charges indicated on the Platform.
• Service providers agree to the applicable commissions or transaction fees.
• Payments processed through GigsPH’s payment partners are subject to their terms and conditions.
• GigsPH is not responsible for disputes between users regarding work quality, payment amounts, or deadlines, unless otherwise stated in our Dispute Resolution Policy.

6. INTELLECTUAL PROPERTY

All intellectual property rights in the Platform (including software, designs, trademarks, and content) belong to GigsPH or its licensors. This Agreement does not transfer any ownership rights to you.

7. USER CONTENT

You may upload content (e.g., job posts, portfolios, messages) to the Platform. You grant GigsPH a worldwide, royalty-free, non-exclusive license to use, reproduce, and display such content solely for operating and improving the Platform.

You must ensure that your content:
• Does not infringe on third-party rights
• Is lawful and not misleading
• Does not contain harmful code or malware

8. THIRD-PARTY SERVICES

The Platform may link to or integrate with third-party services (e.g., payment gateways, background checks). GigsPH is not responsible for the content, policies, or practices of such third parties.

9. TERMINATION

We may suspend or terminate your account at any time if:
• You violate this Agreement or applicable laws
• You engage in fraudulent, abusive, or harmful behavior
• Required by law enforcement or government order

You may close your account at any time through the Platform settings.

10. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied. GigsPH does not guarantee uninterrupted or error-free operation, or that the Platform will meet your specific needs.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, GigsPH shall not be liable for:
• Any indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Disputes between users

Our total liability to you will not exceed the amount you paid to us in the six (6) months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify and hold harmless GigsPH, its officers, directors, and employees from any claims, damages, losses, or expenses arising from your use of the Platform, violation of this Agreement, or infringement of any rights.

13. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the Republic of the Philippines. Any dispute shall first be resolved through mediation. If unresolved, it shall be submitted to the proper courts of Makati City, Philippines.

14. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time. Changes take effect when posted on the Platform, and your continued use means you accept the updated terms.
